1. Acceptance of Terms

By accessing or using the NovaDocs website at novadocs.online ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the Service.

These Terms constitute a binding legal agreement between you ("User," "you," or "your") and NovaDocs ("NovaDocs," "we," "our," or "us"). If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use this Service.

2. Description of Service

NovaDocs is an AI-powered contract intelligence platform that analyzes uploaded contracts and legal documents and provides structured summaries, plain-English explanations, risk flags, and other informational outputs ("Analysis"). The Service is designed to help individuals understand contracts they are considering signing.

NovaDocs provides tools and features including but not limited to:

• AI-generated contract summaries and clause breakdowns
• Risk identification and flagging of potentially unfavorable terms
• Detection of common contract patterns (auto-renewal clauses, IP assignment provisions, liability limitations, etc.)
• Contract Safety Scores and negotiation opportunity identification
• Plain-English explanations of legal language

The Service is provided on an "as is" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Not Legal Advice — Critical Disclaimer

NovaDocs is not a law firm. NovaDocs does not provide legal advice. No attorney-client relationship is created by your use of this Service.

All Analysis generated by NovaDocs is produced by automated AI systems and is for general informational purposes only. The Analysis:

• Does not constitute legal advice or legal opinion
• Is not a substitute for the advice of a qualified, licensed attorney
• May be incomplete, inaccurate, or inapplicable to your specific situation
• Does not account for the specific laws of your jurisdiction or the particular circumstances of your transaction
• Should not be relied upon as the basis for any legal, financial, or business decision

Before signing any contract or taking any legal action, you should always consult with a licensed attorney in your jurisdiction who can review the specific facts and circumstances of your situation. NovaDocs Analysis is a starting point for your own understanding — not a final determination of your rights or obligations.

By using the Service, you acknowledge that you understand and accept these limitations.

4. Accounts & Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at automationdynasty@gmail.com of any unauthorized use of your account

You may not share your account credentials with others or create accounts for the purpose of circumventing usage limits. We reserve the right to suspend or terminate accounts we believe are being used in violation of these Terms.

You may delete your account at any time from within the application or by contacting us. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

5. Free Plan & Pro Plan

NovaDocs offers the following access tiers:

Free Plan Limitations

Free Plan usage is subject to monthly analysis limits, file size limits, and other restrictions that may change over time. We reserve the right to modify Free Plan limits at any time with reasonable notice. Continued use after notice constitutes acceptance of the new limits.

Pro Plan Billing

Pro Plan subscriptions are billed on a recurring basis. Billing is handled by a third-party payment processor. By subscribing, you authorize recurring charges to your payment method. Subscriptions automatically renew unless cancelled before the renewal date. We do not offer refunds on subscription fees for partial periods, except where required by applicable law.

Plan Changes

We reserve the right to introduce new plans, retire existing plans, or change pricing with reasonable advance notice. We will not increase the price of an active paid subscription without providing at least 30 days' advance notice and an opportunity to cancel.

6. Acceptable Use

You agree to use NovaDocs only for lawful purposes and in accordance with these Terms. You must not:

Prohibited activities

• Use the Service in any way that violates applicable local, national, or international law or regulation
• Upload documents that you do not have the right to share or analyze (e.g., confidential documents belonging to third parties without authorization)
• Attempt to circumvent, bypass, or disable any security feature, rate limit, authentication, or usage restriction of the Service
• Use automated tools, bots, scrapers, or scripts to access the Service in excess of normal usage
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Upload content that is malicious, harmful, or designed to damage our systems
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service to process documents on behalf of third parties in a commercial context without a separate agreement with NovaDocs
• Attempt to probe, scan, or test the vulnerability of the Service or any related system
• Interfere with or disrupt the integrity or performance of the Service or data contained therein

Your responsibility for uploaded content

You are solely responsible for the documents you upload to NovaDocs. By uploading a document, you represent that you have the right to do so and that uploading the document does not violate any applicable law or the rights of any third party, including confidentiality obligations, trade secret protections, or intellectual property rights.

7. Intellectual Property

NovaDocs intellectual property

The Service and all of its content, features, and functionality — including but not limited to the software, design, text, graphics, interface elements, icons, logos, trademarks, and the "NovaDocs" name — are owned by NovaDocs and are protected by copyright, trademark, and other applicable intellectual property laws.

These Terms do not grant you any ownership interest in the Service. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business use in accordance with these Terms.

You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, or exploit any portion of the Service without our express prior written consent.

Analysis output

The Analysis output generated by NovaDocs in response to your specific document upload is provided to you for your personal use. You may save and reference your Analysis results. You may not resell, redistribute, or publicly publish Analysis output as if it were independent legal content without attribution and explicit permission from NovaDocs.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant NovaDocs a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and build upon that Feedback without any obligation to you. You are not required to provide Feedback.

8. Your Content

You retain all ownership rights in the documents you upload to NovaDocs. By uploading a document for analysis, you grant NovaDocs a limited, temporary, non-exclusive license to process that document solely for the purpose of generating your Analysis during your active session. This license terminates when your session ends.

As described in our Privacy Policy, we do not store the content of your uploaded documents on our servers beyond the active session. We do not claim any ownership over the content of documents you upload.

NovaDocs does not use the content of your uploaded documents to train AI models.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, NovaDocs disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components
• Warranties regarding the accuracy, completeness, reliability, or timeliness of any Analysis output
• Warranties that any Analysis output will be suitable for your specific legal situation or jurisdiction
• Warranties that results obtained from use of the Service will be accurate or reliable

AI-generated Analysis is produced by automated systems and may contain errors, omissions, or inaccuracies. You acknowledge that no AI system achieves 100% accuracy in legal analysis and that Analysis output must be independently verified before being relied upon in any consequential decision.

Some jurisdictions do not allow the exclusion of implied warranties. If such exclusions are not permitted in your jurisdiction, these exclusions apply to the fullest extent permitted by law.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOVADOCS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, loss of goodwill, business interruption, or other intangible losses
• Any damages arising from your reliance on Analysis output for any legal, financial, or business decision
• Any damages arising from unauthorized access to or alteration of your content
• Any damages arising from errors or inaccuracies in the AI-generated Analysis
• Any damages arising from your failure to seek qualified legal counsel

In no event shall NovaDocs' total liability to you for all claims arising from or relating to the Service exceed the greater of: (a) the total amounts paid by you to NovaDocs in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

These limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if NovaDocs has been advised of the possibility of such damages.

Some jurisdictions do not allow limitation or exclusion of liability for consequential or incidental damages. If such limitations are not permitted in your jurisdiction, they apply to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless NovaDocs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service in a manner not permitted by these Terms
• Your violation of any third-party right, including any intellectual property, confidentiality, or privacy right
• Any documents you upload that you did not have the right to share or analyze
• Your reliance on Analysis output for any consequential legal, financial, or business decision

12. Termination

Termination by you

You may stop using the Service at any time. You may delete your account from within the application or by contacting us at automationdynasty@gmail.com. For paid subscriptions, cancellation stops future billing but does not result in a refund of the current billing period, except where required by law.

Termination by NovaDocs

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we believe you have violated these Terms, if your account has been inactive for an extended period, or if we decide to discontinue the Service.

Upon termination, all licenses granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination will survive (including Sections 3, 7, 9, 10, 11, and 13).

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which NovaDocs operates, without regard to its conflict of law provisions. You agree that any dispute arising from or relating to these Terms or the Service will be resolved in the courts of competent jurisdiction in that governing jurisdiction, and you consent to personal jurisdiction and venue in such courts.

Informal resolution first: Before initiating any formal legal proceeding, you agree to contact us at automationdynasty@gmail.com and attempt to resolve the dispute informally. We will make a good-faith effort to resolve any issue within 30 days of receiving notice.

If you are a consumer in the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Nothing in this section limits your right to bring a claim in small claims court if the claim qualifies.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide notice via the Service or by email.

Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms. If you disagree with the modified Terms, you must stop using the Service. We will not apply material changes retroactively to disputes that arose before the change was posted.
